Terms of Use

Welcome to ZAi-Fi. These Terms of Use ("Terms") govern your access to and use of the services provided by ZAi-Fi ("we," "our," or "us"). By accessing or using our website, services, or applications (collectively, the "Services"), you agree to be bound by these Terms. These Terms of Use constitute a legally binding agreement between you, the user, and ZAi-Fi. By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, and any additional terms and conditions that may apply to specific Services offered by ZAi-Fi.

  • "Services" refers to all products, services, and applications provided by ZAi-Fi, including tailored AI solutions, dedicated engineer support, and proactive issue resolution.

If you do not agree with any part of these Terms, you must stop using our Services immediately.   • Tailored AI Solutions: Customized AI solutions designed to enhance efficiency, optimize operations, and drive growth in your business. 

  • Dedicated Engineer Support: Personal engineers to guide you through the seamless integration of AI into your business operations, ensuring smooth implementation and ongoing support. 

  • Proactive Issue Resolution: Identifying and resolving potential issues before they impact your business, minimizing downtime and maintaining operational continuity. 

6. User Responsibilities 

As a user of our Services, you agree to: 

  • Provide Accurate Information: Ensure that all information you provide to us is accurate, complete, and up-to-date. You are responsible for keeping your account information current. 

  • Use the Services Lawfully: Use our Services in compliance with all applicable laws, regulations, and industry standards. You must not use our Services for any illegal or unauthorized purpose. 

  • Respect Intellectual Property: Do not infringe upon the intellectual property rights of ZAi-Fi or any third party. This includes, but is not limited to, copying, distributing, or modifying any content or software without proper authorization. 

  • Maintain Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately if you suspect any unauthorized use of your account. 

  • Prohibited Activities: You agree not to engage in any activities that could harm ZAi-Fi or its users, such as: 

    • Hacking, phishing, or other unauthorized access to our systems or data. 

    • Distributing malware, viruses, or other harmful software. 

    • Spamming or engaging in any other form of unsolicited communication. 

    • Exploiting our Services for fraudulent or deceptive purposes. 

7. Intellectual Property 

All intellectual property rights in the Services, including but not limited to, trademarks, logos, designs, software, and content provided by ZAi-Fi, are owned by or licensed to ZAi-Fi. These rights are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works from any content on our platform without our express written consent. 

  • User Content: While ZAi-Fi does not claim ownership of the content you create or submit while using our Services, you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of providing and enhancing our Services. 

  • License to Use Services: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal or business purposes, as long as you comply with these Terms. 

8. Account Security  

You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You must not share your account details with anyone else or allow others to access your account. You are fully responsible for all activities that occur under your account, and ZAi-Fi will not be liable for any loss or damage arising from your failure to secure your account.  ​

10. Fees and Payment

By using the fee-based Services, you agree to pay the applicable fees and charges, including any applicable taxes. Payments are due at the time specified in the payment terms, and failure to pay may result in the suspension or termination of your access to the Services

ZAi-Fi reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website or through other communication channels. We will notify you of significant changes via email or through our Services. Your continued use of the Services after changes have been posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically to stay informed of any updates. 

12. Termination 

  • User Termination: You may terminate your account at any time by contacting us or by using the account termination feature in your user settings. Upon termination, you will lose access to the Services and any data associated with your account. 

  • ZAi-Fi Termination: We reserve the right to terminate or suspend your account or access to the Services at any time, with or without cause, and with or without notice. Grounds for termination may include, but are not limited to, violations of these Terms, inactivity, or fraudulent or illegal activities. 

  • Effect of Termination: Upon termination of your account, all rights granted to you under these Terms will immediately cease. ZAi-Fi may retain certain data as required by law or for legitimate business purposes, as outlined in our Privacy Policy. 

13. Disclaimer of Warranties 

ZAi-Fi provides the Services on an "as is" and "as available" basis, without any warranties, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the Services is at your own risk, and you assume full responsibility for any damages that may result. 

14. Limitation of Liability 

To the fullest extent permitted by law, ZAi-Fi shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to, loss of profits, data, or goodwill, arising out of or in connection with your use or inability to use the Services, even if we have been advised of the possibility of such damages. In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing the Services. 

15. Indemnification 

You agree to indemnify, defend, and hold harmless ZAi-Fi, its affiliates, officers, directors, employees, agents, and partners from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorney's fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any rights of another. 

16. Governing Law and Jurisdiction 

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India, for the resolution of any disputes arising out of or related to these Terms or your use of the Services. 

17. Dispute Resolution 

In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiations, it shall be submitted to binding arbitration administered by the [Insert Arbitration Body, e.g., Indian Council of Arbitration (ICA)], in accordance with its rules. The arbitration shall be conducted in Chennai, Tamil Nadu, India, and the arbitration award shall be final and binding on the parties.

18. Severability 

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely matches the intent of the original provision. 

19. Entire Agreement 

These Terms, along with any referenced documents, including our Privacy Policy, constitute the entire agreement between you and ZAi-Fi with respect to your use of the Services and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
